পুঁজিবাজারে তালিকাভুক্ত সহযোগী ৪ কোম্পানির শেয়ার কিনতে সিকিউরিটিজ এন্ড এঙ্চেঞ্জ কমিশনের (এসইসি) অনুমতি চেয়েছে সামিট ইন্ডাষ্ট্রিয়াল এন্ড মার্কেন্টাইল করপোরেশন (এসআইএমসি)। এসইসি'র অনুমোদন সাপেক্ষে বর্তমান বাজার দরে ৪টি সহযোগী কোম্পানির মোট ১৫০ কোটি টাকার শেয়ার কেনার প্রস্তাব করেছে কোম্পানিটি। তবে শেয়ার কেনার ক্ষেত্রে এসইসি'র স্পন্সর শেয়ারের জন্য প্রচলিত আইনের একটি বিধি থেকে অব্যাহতি চেয়েছে প্রতিষ্ঠানটি।
২৩ জানুয়ারি সামিট মার্কেন্টাইল করপোরেশনের পক্ষ থেকে সহযোগী কোম্পানির শেয়ার কেনার প্রস্তাব দিয়ে এসইসি ও দুই স্টক এঙ্চেঞ্জে চিঠি পাঠানো হয়েছে। ঢাকা ও চিটাগাং স্টক এঙ্চেঞ্জের মাধ্যমে এ বিপুল পরিমানের শেয়ার ক্রয় করা হবে বলে জানা গেছে। যেসব কোম্পানির শেয়ার ক্রয়ের প্রস্তাব করা হয়েছে সেগুলো হলো- সামিট পাওয়ার লিমিটেড, সামিট এলায়েন্স পোর্ট লিমিটেড, খুলনা পাওয়ার কোম্পানি লিমিটেড ও ওশেন কন্টেইনার্স লিমিটেড।
সিকিউরিটিজ আইন অনুযায়ী, পুঁজিবাজারে তালিকাভুক্ত কোম্পানির স্পন্সর বা উদ্যোক্তারা নিজ কোম্পানির শেয়ার কেনার ক্ষেত্রে কিছু বাধ্যবাধকতা মেনে চলার বিধান রয়েছে। এর মধ্যে উল্লেখযোগ্য হচ্ছে- কোম্পানির বার্ষিক হিসাব সমাপনীর দুই মাস আগে এবং বার্ষিক হিসাব সম্পন্ন হওয়ার পরবর্তী বোর্ড মিটিং পর্যন্ত স্পন্সররা নিজ কোম্পানির শেয়ার ক্রয় করতে পারবেন না। কারণ এ সময়ের মধ্যে কোম্পানির শেয়ার প্রতি আয় ও লভ্যাংশ কি পরিমান হতে পারে তা স্পষ্ট হয়ে যায়। সিকিউরিটিজ আইনে উল্লেখিত সময়ে স্পন্সরদের জন্য নিজ কোম্পানির শেয়ার ক্রয়ে বিধি নিষেধ আরোপ করা হয়েছে। এছাড়া স্পন্সর বা উদ্যোক্তারা স্টক এঙ্চেঞ্জের মাধ্যমে শেয়ার অধিগ্রহণের ক্ষেত্রে বিধিমালা দ্বারা নির্ধারিত পদ্ধতিতে একটি গণ-বিজ্ঞপ্তি প্রকাশ করতে হবে। বুক বিল্ডিং পদ্ধতিতে ২০১০ সালে তালিকাভুক্তির পর ওশেন কন্টেইনার্স লেনদেন হয় ৩৫২ টাকায়। এরপর থেকেই এ শেয়ারের দর ধারাবাহিকভাবে কমতে থাকে। যা বর্তমানে ১১৭.৩০ টাকায় লেনদেন হচ্ছে। অপরদিকে খুলনা পাওয়ার কোম্পানি বুক বিল্ডিং পদ্ধতিতে তালিকাভুক্তির পর গত এপ্রিল মাসে ২৭৩ টাকায় লেনদেন হলেও বর্তমানে এর দর ৯৭.৭০ টাকায় নেমে এসেছে। এছাড়া সামিট পাওয়ারের দর এক বছর আগে ১৪০০ টাকায় লেনদেন হলেও বর্তমানে ১১৭.৫০ টাকায় এবং সামিট এলায়েন্স পোর্ট ২৫০০ টাকায় (১০০ টাকা অভিহিত মূল্যে) লেনদেন হলেও বর্তমানে ১২৮.৩০ টাকায় (১০ টাকা অভিহিত মূল্যে) লেনদেন হচ্ছে। অভিযোগ রয়েছে- বুক বিল্ডিং পদ্ধতিতে খুলনা পাওয়ার কোম্পানি লিমিটেড ও ওশেন কন্টেইনার্সের শেয়ারের নির্দেশক মূল্য যৌক্তিক মূল্যের চাইতে অনেক বেশি ধরা হয়েছে। এ দুটি কোম্পানির মাধ্যমে সামিট গ্রুপ পুঁজিবাজার থেকে প্রায় ১৫০০ কোটি টাকা সংগ্রহ করেছে। তবে এ দুটি প্রতিষ্ঠানের শেয়ার কিনে বিনিয়োগকারীরা প্রায় ৯০০ কোটি টাকা লোকসান দিয়েছে। শেয়ার কেনার বিষয়টি স্বীকার করে সামিট ইন্ডাষ্ট্রিয়াল এন্ড মার্কেন্টাইল করপোরেশনের চেয়ারম্যান মুহম্মদ আজিজ খান শীর্ষ নিউজ ডটকমকে বলেন, পুঁজিবাজারের সামপ্রতিক পরিস্থিতিকে সামিট গ্রুপের চার সহযোগী প্রতিষ্ঠানসহ প্রায় সবগুলো কোম্পানির শেয়ারের দরই পড়ে গেছে। এছাড়া সামিট গ্রুপের চার সহযোগী প্রতিষ্ঠানের শেয়ার কিনে আর্থিক লোকসানে পড়ে কেউ কেউ ক্ষুব্ধ হয়েছেন। তাই আমরা এসব প্রতিষ্ঠানের ১৫০ কোটি টাকার শেয়ার বাজার মূল্যে কেনার সিদ্ধান্ত নিয়েছি।

Transactions remained suspended for the last two days in the backdrop of a heavy slump in prices in the previous week.
The General Index of Dhaka Stock Exchange (DSE) jumped up 494 points, or 7.8 percent, finishing the four-hour session at 6,821 points.
Institutional investors joined the race in the opening few minutes, but stayed away later as they observed the stalemate in the buy-sale, market insiders said.
It was a day for retail investors, who took up more than 90 percent of the transactions.
optimism surfaced among investors as the regulator amended a string of rules prescribed by the government.
The government sat with stakeholders, central bank and Securities and Exchange Commission on several occasions to bring back normalcy.
"The market reacted positively as almost all the companies hit the upper limit of their individual circuit breaker -- last time that happened on January 11 with the DGEN gaining 15.6 percent," BRAC-EPL, an investment firm, said in its regular market analysis.
But small investors greeted yesterday's jump with suspicion, saying it was "abnormal" and "engineered".
"There are no sellers , which is taking the market to abnormal heights. I think manipulators are at it again. They are just fooling us," said an investor, asking not to be named.
The benchmark index gained 7.8 percent only as the individual company circuit breaker was reduced by half.
Of the 258 securities on DSE yesterday, 191 hit the upper-band and touched the circuit breaker, which does not allow prices of a stock to go up or down by a certain limit for the day. At the end , gainers outnumbered losers 248 to 10.
The sprint left 75 percent of the traded securities without sellers for hours.
Due to the stalemate in the buy-sale, the single day turnover was very low -- only Tk 206 crore -- on transactions of only 1.88 crore shares and mutual fund units.
Market insiders said the stalemate also prompted almost all the institutional investors to stay inactive, both in terms of buying and selling, for most of the trading hours.
"It was natural. Obviously, the retail investors will want the prices to go to the level at which they bought those," said a high official of an investment bank.
The investment banker predicted that the stalemate will come to an end today, and institutional investors will be active.
News agency AFP quoted Mahmud Osman, a professor of finance at Dhaka University, as saying the market's behaviour remained "abnormal".
"The gains do not show that normality has returned. The volume of sales has reached a two-year low and some weaker stocks have also gained along with fundamentally strong companies," he said.
"It shows investors' ambivalence about the reform package."
Conditions for a crash have been building for some time, experts say, as the number of retail investors nearly doubled over the past 15 months to 3.3 million.
Chittagong stocks also posted a sharp rise. Its Selective Categories Index jumped 687 points or 5.7 percent to 12,707. The port city bourse traded more than 54.32 lakh shares and mutual fund units worth Tk 52.81 crore.
