প্রাথমিক শেয়ারে অতিরিক্ত মূল্য নির্ধারণ করায় এমআই সিমেন্ট ফ্যাক্টরি লিমিটেডের (ক্রাউন সিমেন্ট) তালিকাভুক্তির প্রস্তাব অনুমোদন করেনি ঢাকা স্টক এক্সচেঞ্জ (ডিএসই)। গতকাল সোমবার ডিএসইর পরিচালনা পর্ষদের সভায় কোম্পানিটির আবেদন নাকচ করা হয় বলে এসইসি সূত্রে জানা যায়।
১০ টাকা অভিহিত মূল্যের তিন কোটি শেয়ার ছেড়ে বিনিয়োগকারীদের কাছ থেকে ৩৩৪ কোটি টাকা সংগ্রহ করেছে এমআই সিমেন্ট। ১০১ টাকা ৬০ পয়সা প্রিমিয়ামসহ এই কোম্পানির প্রতিটি শেয়ারের বরাদ্দ মূল্য নির্ধারণ করা হয় ১১১ টাকা ৬০ পয়সা। গত ৯-১৩ জানুয়ারি স্থানীয় বিনিয়োগকারী এবং ২২ জানুয়ারি পর্যন্ত প্রবাসীদের কাছ থেকে আইপিও আবেদন গ্রহণ করা হয়। পরে ৯ ফেব্রুয়ারি লটারির মাধ্যমে আবেদনকারীদের মধ্যে শেয়ার বরাদ্দ দেওয়া হয়।
ডিএসইর তালিকাভুক্তি বিধিমালা অনুযায়ী ২১ এপ্রিল এমআই সিমেন্টের তালিকাভুক্তির সময়সীমা শেষ হবে। ওই সময়ের মধ্যে তালিকাভুক্ত হতে ব্যর্থ হলে কোম্পানিকে আইপিওর টাকা ফেরত দিতে হবে। তবে একই ধরনের সমস্যায় তালিকাভুক্তি আটকে যাওয়ার পর এসইসিতে আবেদন করে দুই দফা সময় বাড়িয়ে নিয়েছে এমজেএল বাংলাদেশ লিমিটেড।

On April 13, Muhith cited "shortage of paper" for the delay in printing the 300-plus-page report.
Meanwhile, the finance minister on Monday said the report is now being printed and the government will publish it along with the steps the government will take as per the committee's recommendations.

পুঁজিবাজারে অস্থিরতার কারণ তদন্তে গঠিত কমিটির প্রতিবেদন 'যৌক্তিক' সময়ের মধ্যে প্রকাশ করতে সরকারকে নির্দেশ দিয়েছে হাইকোর্ট। একটি রিট আবেদনে বিচারপতি সৈয়দ মো. জিয়াউল করিম ও বিচারপতি এএনএম বশিরউল্লাহর বেঞ্চ মঙ্গলবার এ নির্দেশ দেয়। তদন্ত প্রতিবেদন প্রকাশ এবং দোষীদের গ্রেপ্তারসহ আইনগত ব্যবস্থা নিতে সরকারের প্রতি আদেশ চেয়ে সোমবার এ রিট আবেদন করে মানবাধিকার সংগঠন হিউম্যান রাইটস অ্যান্ড পিস ফর বাংলাদেশ। যৌক্তিক সময় বলতে আদালত কী বোঝাতে চেয়েছে- জানতে চাইলে সংগঠনের কৌঁসুলি মনজিল মোরসেদ সাংবাদিকদের বলেন, "৪৮ ঘণ্টার মধ্যে প্রকাশ না হলে আমরা আবার আদালতে যাবো।" সংগঠনটির পক্ষে অ্যাডভোকেট মোরসেদ গত ১২ এপ্রিল সংশ্লিষ্ট সরকারি প্রতিষ্ঠানগুলোকে লিগ্যাল নোটিশ পাঠিয়েছিলেন। তাতেও প্রকাশ না হওয়ায় রিট আবেদন করা হয়। রিট আবেদন প্রকাশ হলে তাতে কারসাজিতে জড়িত যাদের না আসবে, তাদের বিরুদ্ধে ব্যবস্থা নিতে পুনরায় আদালতে আবেদন করবেন বলে জানিয়েছেন মনজিল। পুঁজিবাজারে টাকা খোয়ানো বিনিয়োগকারীদের অর্থ কেন ফেরত দেওয়া হবে না, প্রতিবেদন প্রকাশে সংশ্লিষ্ট কর্তৃপক্ষের নিষ্ক্রিয়তা কেন বেআইনি ঘোষণা করা হবে না এবং কারসাজিতে জড়িতদের সাজা কেন নিশ্চিত করা হবে না- এ তিনটি রুল জারি করতে হাইকোর্টে আবেদন করা রিট আবেদনে। হাইকোর্ট রুল জারি করে আগামী ৪ সপ্তাহের মধ্যে এর জবাব দিতে সরকার ও সংশ্লিষ্ট কর্তৃপক্ষকে নির্দেশ দিয়েছে। দরের ব্যাপক উত্থান এবং পতনের মধ্যে দিয়ে গত বছরের শেষ ভাগে অস্থির হয়ে ওঠে পুঁজিবাজার। প্রতিবাদে বিক্ষোভ ও ভাংচুরও করে বিনিয়োগকারীরা। এই পরিস্থিতিতে সরকার কৃষি ব্যাংকের চেয়ারম্যান খোন্দকার ইব্রাহিম খালেদের নেতৃত্বে তদন্ত কমিটি গঠন করে। কমিটি গত ৭ এপ্রিল সরকারের কাছে প্রতিবেদন দেয়। এ তদন্ত প্রতিবেদন সরকার আনুষ্ঠানিকভাবে প্রকাশ না করলেও তা বিভিন্ন সংবাদ মাধ্যমে ইতোমধ্যে চলে এসেছে।

অস্বাভাবিক দাম বৃদ্ধির কারণে পুঁজিবাজারে তালিকাভুক্ত দুটি কোম্পানির শেয়ার লেনদেন আজকের জন্য বন্ধ করেছে ঢাকা স্টক এক্সচেঞ্জ (ডিএসই) কর্তৃপক্ষ।

 মঙ্গলবার ডিএসইর ওয়েবসাইটে প্রকাশিত সংবাদে বলা হয় প্রতিষ্ঠানগুলোর দাম বৃদ্ধির কারণে তাদের লেনদেন বন্ধ করা হয়েছে। একই সঙ্গে ডিএসই কোম্পানি দুটির শেয়ারে বিনিয়োগের ক্ষেত্রে আরও সতর্ক হওয়ার পরামর্শ দিয়েছে।

সোমবার জনস্বার্থে মানবাধিকার সংগঠন ‘হিউম্যান রাইট অ্যান্ড পিস ফর বাংলাদেশ’ এর পক্ষে ৫ জন আইনজীবীর করা রিটের শুনানি শেষে আদালত এ আদেশ দেন।
রিটকারীদের পক্ষে আইনজীবী ছিলেন, অ্যাডভোকেট মনজিল মোরসেদ এবং রাষ্ট্রপক্ষে ডেপুটি অ্যাটর্নি জেনারেল গৌতম রায়।

পুঁজিবাজার  (শেয়ারবাজার) কেলেঙ্কারির পূর্ণাঙ্গ তদন্ত প্রতিবেদন দুই দিনের মধ্যে প্রকাশ এবং ওই তদন্তে যাঁরা চিহ্নিত হয়েছেন, রিট নিষ্পত্তি না হওয়া পর্যন্ত তাঁদের ব্যাংক হিসাব ও পাসপোর্ট জব্দ করার নির্দেশনা চেয়ে হাইকোর্টে রিট আবেদন করা হয়েছে। এ ছাড়া নির্দেশনা চাওয়া হয়েছে শেয়ারবাজারে কারসাজির সঙ্গে জড়িতদের বিরুদ্ধে মামলা দায়ের করারও। রিট আবেদনটির ওপর হাইকোর্টের অবকাশকালীন বেঞ্চে আজ মঙ্গলবার শুনানি হতে পারে। মানবাধিকার সংগঠন হিউম্যান রাইটস অ্যান্ড পিস ফর বাংলাদেশের (এইচআরপিবি) পক্ষে সুপ্রিম কোর্টের পাঁচ আইনজীবী গতকাল সোমবার এ রিট আবেদন দাখিল করেন। বিচারপতি সৈয়দ মো. জিয়াউল করিম ও বিচারপতি এ এন এম বশিরউল্লাহ সমন্বয়ে গঠিত অবকাশকালীন বেঞ্চে আবেদনটি উপস্থাপন করেন অ্যাডভোকেট মনজিল মোরসেদ। তবে আদালত আজ মঙ্গলবার শুনানির জন্য দিন ধার্য করেন। পুঁজিবাজারে খোয়ানো অর্থ উদ্ধার এবং তা বিনিয়োগকারীদের কেন ফেরত দেওয়া হবে না, প্রতিবেদন প্রকাশে সংশ্লিষ্ট কর্তৃপক্ষের নিষ্ক্রিয়তাকে কেন বেআইনি ও আইনগত কর্তৃত্ববহির্ভূত ঘোষণা করা হবে না এবং প্রতিবেদনে পুঁজিবাজার বিপর্যয়ের সঙ্গে জড়িত হিসেবে চিহ্নিত ব্যক্তি বা প্রতিষ্ঠানের বিরুদ্ধে কার্যকর বিচার কেন নিশ্চিত করা হবে না, এর কারণ জানতে চেয়ে রুল জারি করতেও আবেদন করা হয়েছে। আদালতের নির্দেশনা অনুযায়ী কাজের অগ্রগতির প্রতিবেদন সাত দিনের মধ্যে হাইকোর্টে দাখিল করারও নির্দেশনা চাওয়া হয়েছে। অ্যাডভোকেট আসাদুজ্জামান সিদ্দিকী, সারোয়ার আহাদ, এখলাসউদ্দিন ভুঁইয়া, মাহবুবুর রহমান খান ও মাহবুবুল ইসলাম নামের পাঁচ আইনজীবী রিট আবেদনটি দাখিল করেন।
সরকারের পক্ষে মন্ত্রিপরিষদ সচিব, প্রধানমন্ত্রীর কার্যালয়ের সচিব, অর্থসচিব, স্বরাষ্ট্রসচিব, ব্যাংক ও আর্থিক প্রতিষ্ঠানসংক্রান্ত সচিব, সিকিউরিটিজ অ্যান্ড এঙ্চেঞ্জ কমিশন (এসইসি) চেয়ারম্যান, ঢাকা স্টক এঙ্চেঞ্জের (ডিএসই) প্রধান নির্বাহী, ডিএমপি কমিশনার ও মতিঝিল থানার ওসিকে বিবাদী করা হয়েছে রিট আবেদনে। চলতি বছর পুঁজিবাজারে ব্যাপক ধসের কারণ অনুসন্ধানে কৃষি ব্যাংকের চেয়ারম্যান খোন্দকার ইব্রাহিম খালেদকে প্রধান করে গঠিত তদন্ত কমিটি গত ৭ এপ্রিল অর্থমন্ত্রীর কাছে প্রতিবেদন জমা দেয়। কিন্তু এ প্রতিবেদন জনসমক্ষে প্রকাশ করা হয়নি। এ অবস্থায় সাত দিনের মধ্যে প্রতিবেদন প্রকাশের দাবি জানিয়ে গত ১২ এপ্রিল সরকারকে লিগ্যাল নোটিশ দেওয়া হয়। এইচআরপিবির পক্ষে অ্যাডভোকেট মনজিল মোরশেদ লিগ্যাল নোটিশ দেন। নোটিশে শেয়ার কেলেঙ্কারির সঙ্গে জড়িতদের বিরুদ্ধে দৃষ্টান্তমূলক শাস্তি দাবি করা হয়। কিন্তু নির্ধারিত সময়ের মধ্যে সরকারের পক্ষ থেকে প্রতিবেদন প্রকাশে কোনো উদ্যোগ না নেওয়ায় গতকাল রিট আবেদন দায়ের করা হয়েছে।
গতকাল সকালে হাইকোর্টের সংশ্লিষ্ট শাখায় রিট আবেদন দাখিল করার পর তা শুনানির জন্য বিচারপতি সৈয়দ মো. জিয়াউল করিম ও বিচারপতি এ এন এম বশিরউল্লাহর অবকাশকালীন বেঞ্চে উপস্থাপন করা হয়। কিন্তু গতকালের নির্ধারিত কার্যতালিকায় মামলাটি না থাকায় আদালত শুনানি গ্রহণ করেননি। এ অবস্থায় দুপুরে বিচারপতিরা এজলাস ছেড়ে যাওয়ার আগমুহূর্তে অ্যাডভোকেট মনজিল মোরশেদ আবেদনটির বিষয়ে আদালতের দৃষ্টি আকর্ষণ করেন। পরে অ্যাডভোকেট মনজিল মোরশেদ সাংবাদিকদের বলেন, আদালত আবেদনটির ওপর মঙ্গলবার শুনানির জন্য নির্ধারণ করেছেন। রিট আবেদনে বলা হয়, সংবিধানের ২১ অনুচ্ছেদ ও দেশের প্রচলিত আইন অনুযায়ী প্রশাসন তাদের দায়িত্ব পালনে ব্যর্থ হয়েছে। রিট আবেদনে আরো বলা হয়, তথ্য অধিকার আইন অনুযায়ী কর্তৃপক্ষ প্রতিবেদন প্রকাশে বাধ্য। এটা প্রেসবিজ্ঞপ্তি আকারে বা অন্য কোনো উপায়ে তা প্রকাশ করবে। কিন্তু তা প্রকাশ করেনি। রিট আবেদনে বলা হয়, সিকিউরিটিজ এঙ্জেঞ্জ অধ্যাদেশ অনুযায়ী শেয়ার কেনাবেচায় প্রত্যক্ষ বা পরোক্ষভাবে প্রভাব সৃষ্টিকারীদের শাস্তির আওতায় আনতে হবে। নাগরিকদের অর্থনৈতিক বিপর্যয় হলেও যারা অর্থনৈতিক অপরাধের সঙ্গে জড়িত, তাদের বিরুদ্ধে আইনগত কোনো পদক্ষেপ নেওয়া হয়নি। শেয়ারবাজারে দরের ব্যাপক উত্থান-পতনের মধ্যে গত বছরের শেষ ভাগে অস্থির হয়ে ওঠে পুঁজিবাজার। বিনিয়োগকারীরা বিক্ষোভ ও ভাঙচুরও করেন। এর পরই সরকার ইব্রাহিম খালেদের নেতৃত্বে তদন্ত কমিটি গঠন করে। এ কমিটির প্রতিবেদন সরকার আনুষ্ঠানিকভাবে প্রকাশ না করলেও তা বিভিন্ন সংবাদমাধ্যমে এরই মধ্যে প্রকাশিত হয়েছে।

(৪২১) আগামী বৃহস্পতিবার থেকে ঢাকা স্টক এক্সচেঞ্জে

পুঁজিবাজারে তালিকাভুক্ত হতে যাচ্ছে সালভো কেমিক্যাল ইন্ডাস্ট্রি লিমিটেড। আগামী বৃহস্পতিবার থেকে ঢাকা স্টক এক্সচেঞ্জে (ডিএসই) শুরু হবে প্রতিষ্ঠানটির শেয়ার লেনদেন। আজ সোমবার ডিএসইর পরিচালনা পর্ষদের সভায় এ সিদ্ধান্ত নেওয়া হয় বলে ডিএসই সূত্রে জানা যায়। এর আগে প্রতিষ্ঠানটি এসইসির অনুমোদন নেয়।
ডিএসইর ওয়েবসাইটে প্রকাশিত প্রসপেক্টাসের তথ্য অনুযায়ী সালভো কেমিক্যাল ইন্ডাস্ট্রির অনুমোদিত মূলধন ৫০ কোটি টাকা এবং প্রি-আইপিও পরিশোধিত মূলধন ১৪ কোটি ১০ লাখ টাকা।
এ ছাড়া আইপিওর আকার ২৬ কোটি টাকা। এ ক্ষেত্রে আইপিও-পরবর্তী পরিশোধিত মূলধন দাঁড়ায় ৪০ কোটি ১০ লাখ টাকা। এ ছাড়া প্রতিটি শেয়ারের অভিহিত মূল্য ১০ টাকা এবং প্রতি ৫০০টি শেয়ারে একটি মার্কেট লট।
২০০৯ সালের ৩১ ডিসেম্বর প্রতিষ্ঠানটির শেয়ারপ্রতি মোট সম্পদের দাম (এনএভি) ছিল ১০ দশমিক ৮২ টাকা। একই সময়ে শেয়ারপ্রতি আয় দেখানো হয়েছে ৯১ পয়সা। প্রতিষ্ঠানটির ইস্যু ব্যবস্থাপক এএএ কনসালট্যান্টস অ্যান্ড ফাইন্যান্সিয়াল অ্যাডভাইজারস লিমিটেড।
গত ৩০ জানুয়ারি থেকে ৩ ফেব্রুয়ারি দেশি বিনিয়োগকারীদের এবং ৩০ জানুয়ারি থেকে ১২ ফেব্রুয়ারি পর্যন্ত অনাবাসী বিনিয়োগকারীদের আইপিওর সাবস্ক্রিপশন চলে।

The Securities and Exchange Commission yesterday approved a trust deed and investment management agreements on the Tk 5,000 crore Bangladesh Fund designed to prop up the volatile stockmarket.
The approval came at a meeting of the stockmarket regulator with the commission's chief Ziaul Haque Khondker in the chair.
Eight state-owned financial institutions will sponsor Tk 1,500 crore of the fund, while the rest of the fund will be raised from institutions and individuals, said Saifur Rahman, a spokesman for the SEC, in a press briefing after the meeting.
The eight institutions are: Investment Corporation of Bangladesh (ICB), Sonali Bank, Janata Bank, Agrani Bank, Rupali Bank, Bangladesh Development Bank, Sadharan Bima Corporation and Jibon Bima Corporation.
"It will be an open-ended mutual fund and will be a professionally managed collective investment scheme with an unlimited lifetime and size," he said, adding that face value of each unit will be Tk 100.
He said the fund will have to be registered with the office of sub-registrar prior to launching and a certified copy of the registration will have to be submitted to the SEC.
ICB Asset Management Company Ltd is the manager of the fund, while ICB Capital Management Company Ltd is the custodian.
Although the sponsors sought a waiver of some applicable rules, the SEC said everything will be under the existing rules.
The sponsors had requested for allowing 50 percent of the fund to be invested in the stockmarket and the rest in the money market. "But as per rules, a fund's minimum 75 percent is meant for investment in the stockmarket," he said, adding that 25 percent can be invested in the money market.
"There were also requests for reducing the fund's registration fee and annual fee to Tk 50,000 each. But the fund will have to submit the registration fee and annual fee as per existing rules," said Rahman, also an executive director of the SEC.
A fund has to submit registration fees equivalent to 0.2 percent of the fund size and annual fees equivalent to 0.1 percent of the fund. So, the Bangladesh Fund will have to submit Tk 10 crore in registration fees and Tk 5 crore in annual fees.
Besides, the SEC executive director said the fund sponsors had sought 10 percent quota allotment of government shares while offloading in the stockmarket. The commission replied that it depends on the government's decision.
"On the appeal of a 5 percent quota in any initial public offering, the commission observed that it will also depend on rules," Rahman added.
On March 6, the ICB, along with seven other state-owned enterprises, decided to give a massive liquidity support to the shrivelling stockmarket by creating a Tk 5,000 crore fund, and the proposal was submitted to the SEC on March 29 for approval.
