শেয়ারবাজার :::: বেক্সিমকো ও বেক্সটেক্সের পর এবার পুঁজিবাজারে তালিকাভুক্ত মুন্নু সিরামিক ইন্ডাস্ট্রিজ লিমিটেড, মুন্নু জুটেক্স ও মুন্নু প্রিন্টিং অ্যান্ড প্যাকেজিং লিমিটেড একীভূত হচ্ছে। আজ বুধবার ডিএসইর ওয়েবসাইটে প্রকাশিত সংবাদে বলা হয়, সুপ্রিম কোর্টের হাইকোর্ট ডিভিশনের আদেশ অনুযায়ী আগামী ৩০ সেপ্টেম্বর মুন্নু জুটেক্সের বিশেষ সাধারণ সভা ঢাকার অদূরে ধামরাইয়ের ইসলামপুরে প্রতিষ্ঠানটির কারখানা প্রাঙ্গণে অনুষ্ঠিত হবে। বিশেষ সাধারণ সভার (ইজিএম) রেকর্ড ডেট ৮ সেপ্টেম্বর।
এ ছাড়া প্রতিষ্ঠান তিনটির পৃথক ঘোষণায় আরও বলা হয়, ইজিএমের পর এ-সংক্রান্ত প্রয়োজনীয় কাগজপত্র আগামী ৭ অক্টোবরের মধ্যে হাইকোর্টে জমা দিতে বলা হয়েছে। একই সঙ্গে ৯ অক্টোবর শুনানির দিন ধার্য করা হয়েছে।
এর আগে গত রোববার তিনটি প্রতিষ্ঠানের পক্ষ থেকে প্রকাশিত ঘোষণায় বলা হয়, মুন্নু সিরামিকস লিমিটেডের সঙ্গে মুন্নু জুটেক্স ইন্ডাস্ট্রিজ লিমিটেড ও মুন্নু প্রিন্টিং অ্যান্ড প্যাকেজিং লিমিটেডকে একীভূত করার সিদ্ধান্ত নেওয়া হয়েছে। এ সিদ্ধান্ত বাস্তবায়নের অনুমোদন চেয়ে তিন কোম্পানির পক্ষ থেকে হাইকোর্টে আবেদন করার কথা বলা হয়। যথাযথ আইনি প্রক্রিয়া অনুসরণ করেই এ কোম্পানি তিনটিকে একীভূত করা হবে বলে ঘোষণায় জানানো হয়। এরই পরিপ্রেক্ষিতে গতকাল হাইকোর্ট এ আদেশ দেন।
একীভূতকরণের ঘোষণা অনুযায়ী মুন্নু জুটেক্সের শেয়ারহোল্ডাররা প্রতি দশমিক ৩৯টি সাধারণ শেয়ারের বিপরীতে মুন্নু সিরামিকের একটি সাধারণ শেয়ার পাবেন। একইভাবে মুন্নু প্রিন্টিং অ্যান্ড প্যাকেজিং লিমিটেডের শেয়ারহোল্ডাররা কোম্পানির ২.৬৯টি শেয়ারের বিপরীতে মুন্নু সিরামিকের একটি শেয়ার পাবেন। কোম্পানিগুলোর সম্পদ মূল্যায়ন করে নিরীক্ষা প্রতিষ্ঠান মেসার্স আতা খান অ্যান্ড কোম্পানি শেয়ার বিনিময়ের এ হার নির্ধারণ করেছে।

(১৬৮৩) India agrees to export 500MW power to Bangladesh
India at the third BIMSTEC meeting on Tuesday agreed to export 500 megawatt (MW) of electricity to Bangladesh to mitigate the severe and prolonged power crisis being faced by the latter.The more four South Asian countries like Myanmar, Sri Lanka, Nepal and Bhutan also agreed to trade electricity among themselves with a view to keeping the wheels of these economies smooth.These member states of Bengal Initiative of Multi-Sectoral Technical and Economic Cooperation (BIMSTEC) reached a consensus at the inaugural day of its two-day meeting in Dhaka.The secretary to Power Division of Bangladesh government Abul Kalam Azad spoke while inaugurating the meeting.
Sources said the meeting will prepare a draft of MoU for exchanging electricity between the countries. The members states at the meeting also agreed to sign a draft Memorandum of Understanding (MoU) on a regional power grid connectivity to secure power security in member states. The two-day meeting of Bay of Bengal Initiative for Multi-Sectoral Technical and Economic Cooperation (BIMSTEC) representing seven South and South-East Asian nations will also formulate a work plan for 2012-2015 to this end.
Power Division Secretary Abul Kalam Azad told reporters that the member states are signing a draft MoU and any concrete decision regarding the issue will be taken in the next inter-ministerial meeting. But the date of that meeting is yet to be fixed, the secretary said. He said everything is at the very primary stage and any international agreement always proceeds through the signing of a MoU. “Only signing of contracts won’t ensure grid connectivity. It needs mutual trust to reach a consensus,” he said. “We’ve to move forward with mutual cooperation.” Over the slow progress of the 14-year old platform of regional cooperation, he said BIMSTEC has no permanent secretariat, which hinder its progress. Besides, no inter-ministerial meeting was held since 2006. He said setting up the secretariat in Dhaka is under process as Bangladesh is geographically in the middle and also the host country. Another government official who attended the meeting, said the draft was first made in 2006. But he refused to inform why the draft was so delayed. Thailand is the chair country of the taskforce as decided in first energy ministers’ conference at New Delhi in October 2005 and endorsed by BIMSTEC ministerial meeting held in Dhaka in December in the same year. The South-East Asian country took the lead role in drafting the MoU on grid connections. At the first summit held Bangkok in July 2004, the BIMSTEC leaders agreed to promote energy cooperation with sustainable and optional energy utilisation
